Ethical Operations
The
company has established “Integrity Management Code” and “Integrity Management
Operation Procedures and Behavior Guidelines” to implement honest, fair,
trustworthy and
transparent business activities of integrity management, and
also in internal regulations,
annual reports, company website and external
activities. Announce relevant business
policies, so that the relevant
stakeholders of the company, investors concerned about
Century Wind Power, the
public or other business-related organizations can understand the company‘s integrity management philosophy and norms. The audit office of the company is a
dedicated unit to promote the integrity of the enterprise. It is responsible
for supervising
the prevention of dishonest behavior, and assists the board of
directors and management to
check and evaluate whether the established
dishonest prevention measures are operating
effectively. In addition, in
accordance with the “Key Points for the Implementation of
Advanced Education
for Directors and Supervisors of Listed Companies” and in order to
enhance the
relevant corporate governance expertise of company managers, directors,
supervisors, etc., the company encourages directors to participate in advanced
education,
and also appoints professional organizations to the company Conduct
refresher courses for
directors to study. The total number of continuing
education of board members was 66
hours, and the average hours of continuing education of each director was 7.3 hours.
Recusal for Conflict of Interest
The company has established a "Code of Ethical Conduct," which requires that when
directors, managers, and other stakeholders attending board meetings have a conflict of
interest regarding a matter being discussed, involving either themselves or the legal entities
they represent, they must disclose the nature of their interest at that board meeting. If the
conflict poses a risk of harm to the company’s interests, they must refrain from participating
in the discussion or voting on the matter. Furthermore, they must recuse themselves during
discussions and voting and cannot act as a proxy for other directors to exercise voting rights.
The company also discloses major board resolutions and the enforcement of recusal on
conflict-of-interest proposals by directors in its annual report. Additionally, employees are
prohibited from using company resources or information for external business activities or for
personal gain.
Prevent Malpractices
According to subparagraph 1, paragraph 1, Article 7 of the Political Donation Act, the
Company shall not make any political donation. In accordance with the “Ethical Corporate
Management Best Practice Principles”, in the course of engaging in business acts, directors,
managers, appointees, and substantial controllers of the Company shall not directly or
indirectly provide, promise, request, or accept any unjust benefit, or perform other
unethical behaviors that violate ethics, are illegal or violate the trusted obligations to seek or
maintain their interests. In 2023, there was no complaint case. If the Company receives any
complaint, after review, the Audit Office handles such case according to the whistleblowing
system, and also duly investigates whether there is any material corruption, malpractice, or
material harm to the Company’s interests, or other circumstances violating the operating
requirements.

Self-Monitoring
At the end of each year, all departments conduct self-assessments of internal
controls. After review by the Audit Office, the results of these self-assessments
are reported to the General Manager, the Audit Committee, and the Board of
Directors. This process allows for review and adjustment of the design and
implementation of the internal control system in response to environmental
changes, thereby ensuring the effective implementation of the company's
self-monitoring mechanism.
Information Transparency
Century Wind Power has established the "Insider Trading Prevention
Management Procedures" to ensure a sound information management and
disclosure mechanism and to prevent improper information leakage.
To maintain consistency and accuracy in the company's external
communications, it follows specific principles for information disclosure.
If media reports differ from the company’s disclosed information, Century
Wind Power promptly clarifies on the Market Observation Post System and
requests the media to make corrections.
The principles for disclosing significant information externally are as follows:

nInformation must be disclosed fairly
